End User License Agreement (EULA)

This agreement is between you (an individual or the organisation you act for, “you”) and NXTM Group sp. z o.o., ul. Terespolska 4 lok. 375, 03-813 Warszawa, Poland, KRS 0000763527, VAT EU PL1132990632, REGON 382086758 (“Licensor”), the owner of noapad. By installing or using noapad you accept this agreement. If you do not accept it, do not install or use noapad.

1. What you may do

1.1. The Licensor grants you a free-of-charge, non-exclusive, non-transferable, worldwide, revocable licence to install and use the free edition of noapad (“Software”) on any number of devices, for personal and commercial purposes, including use within a company and for work done for clients.

1.2. You may make the copies needed to install, run and back up the Software.

1.3. Paid editions or features (if offered) are governed by this agreement together with the terms of the subscription you purchase.

2. What you may not do

Unless mandatory law allows it, you may not:

  • sell, rent, lease, sublicense or charge for the Software or redistribute it as part of a paid product;
  • modify, translate or create derivative works of the Software, or decompile, disassemble or reverse engineer it;
  • remove or alter copyright notices, trademarks or this agreement;
  • use the Software to break the law or infringe the rights of others.

You may share the official, unmodified installer or a link to the official download page free of charge.

3. Ownership

The Software is licensed, not sold. The Licensor and its licensors keep all rights, title and interest, including intellectual property rights. “noapad” and its logo are marks of the Licensor. Third-party components included in the Software are provided under their own licences, listed in About → Licences inside the Software; those licences prevail for those components.

4. Your files and privacy

The Software works on files on your devices. It sends no telemetry, analytics or crash reports. It connects to the network only when you start an action that needs it (for example a git push or opening a link) or when you enable update checks. The Licensor does not receive your files or data.

5. No warranty

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. YOU USE THE SOFTWARE AT YOUR OWN RISK. You are responsible for backing up your files; the Licensor does not warrant that the Software is error-free or will not alter, corrupt or lose data.

6. Limitation of liability

6.1. To the maximum extent permitted by applicable law, the Licensor is not liable for any damages arising from the use of or inability to use the Software, including loss of data, profits, revenue or business, or indirect, incidental, special or consequential damages, even if advised of their possibility.

6.2. To the extent liability cannot be excluded, the Licensor’s total liability for the free edition is limited to EUR 50 (fifty euro).

6.3. Nothing in this agreement limits liability that cannot be limited by law, in particular for damage caused intentionally, or the rights of consumers under mandatory consumer-protection law.

7. Updates and changes

The Licensor may update the Software or change, add or remove features, including moving features between free and paid editions in future versions. The Licensor may update this agreement; the version in force is published at https://noapad.com/en/eula/ and shown with each new version of the Software.

8. Termination

This licence ends automatically if you breach it. On termination you must stop using the Software and delete your copies. Sections 3, 5, 6 and 9 survive termination.

9. Governing law

This agreement is governed by the law of Poland, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. Disputes will be resolved by the courts competent for the Licensor’s registered office, without prejudice to a consumer’s right to sue in the courts of their place of residence.
